Terms of payment

Interest shall be charged at the rate of 2% per month, or proportionally for parts of a month, beginning 30 days after receipt of materials per the invoice. No credit will be given on any returned items until they are inspected by G.W. Murphy Wholesale at its facility. That inspection will determine the amount of credit given for merchandise deemed to be damaged. Any such merchandise shall be held for the customer per its instructions. Any shipping of such merchandise by the company shall be at the customer’s expense. Waiver by G.W. Murphy Wholesale of strict compliance with any of the terms of this sale is not to be considered a waiver of any other term.

G.W. Murphy Wholesale’s liability shall be limited solely to the replacement of, or refund of the purchase price of, material that has been returned, provided that such material is returned to G.W. Murphy Wholesale. Cost of freight or delivery will not be reimbursed.

If any balance due for materials supplied remains unpaid for more than 30 days, the customer shall be responsible for the interest stated above, in addition to the cost of collection, including reasonable attorney fees and court costs.

Shipping terms

All shipments are made F.O.B. our dock, freight prepaid, unless other arrangements have been made by the buyer. No freight allowance will be made for pickup at the factory or warehouse. G.W. Murphy Wholesale’s responsibility for a shipment ends when the carrier accepts the goods. G.W. Murphy Wholesale has no liability for loss or damage in transit.

Delays

All orders and contracts are accepted and scheduled subject to revision according to G.W. Murphy Wholesale’s ability to procure the necessary material, labor, fuel, power and supplies. All schedules are subject to government regulations and requirements, force majeure, acts of God, war, strikes, lockouts, floods, accidents, fires, riots, civil commotion, acts of belligerent powers, delays or interruption in transportation of any kind, and other contingencies beyond G.W. Murphy Wholesale’s control. All orders and contracts are also subject to current factory shipping schedules.

Return of merchandise

No merchandise may be returned to G.W. Murphy Wholesale without authorization and shipping instructions from G.W. Murphy Wholesale. A return authorization number must be obtained before returning any merchandise. The amount of credit, if any, for returned merchandise and handling charges will be determined by the company upon inspection.

Cancellations

Any order, once placed with and accepted by G.W. Murphy Wholesale, can be canceled only with G.W. Murphy Wholesale’s consent and is subject to cancellation charges, including a 25% handling charge.

Shortages

Any claim for shortages must be made at the time of receipt, in writing. All shortages must be documented on the original paperwork at the time of receipt. Claims not made this way will not be allowed.

Clerical errors

All stenographic and clerical errors are subject to correction.

Shipment

Each shipment is treated as a separate and distinct contract. However, if the buyer fails to meet the terms of payment, G.W. Murphy Wholesale may, without prejudice to any other lawful remedy, defer further shipments until payment is made on prior shipments, or cancel the contract and stop goods in transit.

Insolvency of buyer

If the buyer makes an assignment for the benefit of creditors, or a voluntary or involuntary petition or other action in bankruptcy, for reorganization or under any other insolvency law is filed by or against the buyer, or the buyer admits its inability to pay its debts, or a trustee, receiver or liquidator is appointed for any part of the buyer’s assets, G.W. Murphy Wholesale may, at its option, immediately stop filling orders from the buyer. If goods have already shipped, G.W. Murphy Wholesale may stop them in transit and have them returned to its warehouse, and unpaid inventory will be immediately reshipped to G.W. Murphy Wholesale to help offset outstanding debt.

Acceptable use

Users must use our services in a lawful and respectful manner. Any misuse, including unauthorized access, data scraping or distribution of malicious content, is strictly prohibited.

Limitations of liability

G.W. Murphy Wholesale shall not be held liable for any direct, indirect, incidental or consequential damages arising from the use of, or inability to use, our services. We do not guarantee uninterrupted or error-free service and are not responsible for any data loss or system failures.

User responsibilities

• Users are responsible for keeping their account information confidential.
• Users must make sure any data provided to G.W. Murphy Wholesale is accurate and up to date.
• Users must notify us immediately of any unauthorized use of their account or security breach.
