Material Distribution Agreement

The Buyer testifies that the information above is accurate as of this date.

The Buyer agrees to not knowingly advertise, sell or quote any offerings made to them by GW MURPHY to any Materials Broker or any Distributor that is a direct purchaser of that same Manufacturer’s products. Likewise, the Buyer agrees to not knowingly advertise, sell or quote any offerings made to them by GW MURPHY to any Contractor that is a Certified installer of that same Manufacturer’s products. The Buyer acknowledges that he/she has read the details of this agreement and agrees to the terms within.

The Buyer acknowledges that Economy-Grade, Factory-Seconds and B-Grade products are sold on an “as is” basis and do not include any warranties, from either the seller or the Manufacturer, expressed or implied (including but not limited to, any implied warranty of merchantability, condition and/or fitness for a particular purpose, and/or any implied warranty arising from the course of performance, course of dealing, standard practice or usage of trade. The Buyer hereby waives all other rights, obligation and warranties and assumes all risks and liabilities in respect to the Material.

By checking this box and typing my name below, I am electronically signing my Wholesale Distribution Agreement as confirmation that I have read, understood and agree to all terms of the document and as verification that I have answered all questions to the best of my knowledge. I understand that an electronic signature has the same legal effect and can be enforced in the same way as a written signature. This agreement in its entirety shall be interpreted, construed and performed according to the laws of the state of Indiana.

As a Preferred Buyer of materials from GW Murphy Wholesale, I hereby authorize GW Murphy Wholesale to retain my credit card information for use on current and future purchases. My signature authorizes GW Murphy Wholesale to make deliveries of material in my absence to the authorized materials receivers listed above. I also indicate understanding and acceptance of all terms, conditions, and personal guarantees described on Invoices, Sales Order Acknowledgments and/or Credit Applications.
